Corporate Associate Attorney

An established law firm in New York City seeks a Corporate Associate Attorney with experience in corporate, LLC, and business law to join our Midtown Manhattan office.

Who You Are:

• Juris Doctorate from an accredited law school
• Admission to the New York State Bar
• 3+ Years of Experience in Corporate/Business Law 
• Excellent drafting, organizational, and analytical skills.
• Strong oral and written communication abilities; able to interact effectively with clients, colleagues, and opposing parties.
• Substantive knowledge of:
  • Business entity formation and structuring;
  • Shareholder and operating agreements;
  • Private offerings and subscription documents;
  • Commercial lending and business purchase/sale transactions.
• Experience with startup clients is a plus.
• Familiarity with employment law and drafting employment agreements is a plus.

What You Will Be Doing?

• Draft, review, and negotiate a broad range of agreements, including operating and shareholder agreements, purchase and sale agreements, loan documents, and private placement materials.
• Assist with entity formation, structuring, and corporate governance.
• Support M&A transactions and other business combinations.
• Prepare legal opinions and related due diligence documentation.
• Interface directly with clients, opposing counsel, and other professionals to advance transactions and manage legal issues.
